What you'll do: 

Primary responsibilities will include advising investment professionals and directing outside counsel in connection with investment activities and fund structuring as well as compliance requirements arising from various regulatory and internal policy obligations.

The candidate will be responsible for legal coverage within MSIM China’s business including:

  • Interacting regularly with senior management in the business, Risk Officers, Compliance, Tax, Finance and other stakeholders to manage legal risk and protect the Firm’s reputation;
  • Providing coverage for legal aspects of fund structuring, fund formation and fund governance for complex fund structures;
  • Instructing external counsels;
  • Advising on changes in law, new regulatory initiatives and changing market practices for funds and related investments;
  • Advising on the development and execution of internal policies and procedures;
  • Drafting and reviewing legal documents related to MSIM China’s products (mutual products and private offered products) to ensure the products are legal and compliant;
  • Responsible for reviewing various Chinese and English contracts or legal documents related to MSIM China’s operations, and providing legal advice on any issues encountered during contract performance;
  • Track changes in laws and regulations, regulatory requirements and industry rules, conduct legal researches, and participate in the implementation of new regulations;
  • Propose revision suggestions on MSIM China’s Articles of Association and internal policies, and participate in corporate governance;
  • Assist in dealing with disputes, litigation and arbitration involving companies and products as needed, and coordinate with external lawyers to safeguard the company's rights and interests;
  • Cooperate with other business departments in legal work;
  • Working closely with regional colleagues;
  • Other affairs arranged by the manager.

 

What you’ll bring:

  • Master degree in Law from key domestic or international universities (Undergraduate degree in Law is preferred).
  • Lawyer with 5+ years relevant post-qualification experience preferably in financial institutions, such as fund management companies, asset management companies, or first-class law firms serving financial clients.
  • Must have passed the National Judicial Examination (Qualified for the Legal Professional Qualification Certificate A), Fund Practitioner Qualification Certificate and Lawyer Qualification Certificate are preferred.
  • Familiar with laws and regulations in fund industry, familiar with legal theories and practices in the fields of company law, contract law, security law, property law, trust law, etc.;
  • Solid drafting and negotiation skills.
  • A personable and confident disposition, with the ability to identify and resolve disputes in a fast-paced corporate environment while adhering to Firm policies and practices.
  • Proficient in English, listening, speaking, reading and writing. Capable of independently drafting and reviewing English contracts and proficient in English conversations with regional/ global colleagues.
  • Team player with solid analytical and presentation skills.
